Terms of Service

These Terms of Service ("Terms") are a contract between you and Relixr Ltd ("Relixr", "we", "us", or "our") governing access to and use of the Relixr website, dashboard, API, prepaid credits, and related services (collectively, the "Services").
By creating an account, clicking to accept, or using the Services, you agree to these Terms and our Privacy Policy. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
1. The Services
Relixr provides a prepaid interface to third-party AI models and related tooling. We may add, change, or discontinue features, models, or pricing. Model availability depends on upstream providers and is offered on an as-available basis.
2. Eligibility and accounts
You must be at least 16 years old (or the higher age of digital consent in your country) and able to form a binding contract. You must provide accurate registration information and keep it current. You are responsible for safeguarding credentials, API keys, and workspace access, and for all activity under your account and keys. Notify us promptly at support@relixr.com if you suspect unauthorized use.
3. Prepaid credits and payment
Access to inference and certain features requires prepaid credits. Before purchase you can review amounts and applicable fees. Usage is charged from your balance at then-current published rates, including any Relixr platform charges. We may reserve balance before a request completes so you are not charged beyond what you hold.
Credits do not expire unless we state otherwise at purchase. Refund eligibility, if any, is described at purchase or in your billing settings and may be limited by payment-rail rules. Taxes may apply based on your location and payment method. Card and local payment processing is handled by our payment partners; Relixr does not store full card numbers.
4. Model providers
When you use a model through the Services, your inputs are transmitted to the model provider you select (or that routing selects). You must comply with that provider's applicable terms and acceptable-use rules. Relixr does not control upstream models and is not responsible for their outputs, availability, or data practices beyond what we disclose in our Privacy Policy and Trust materials. Review provider terms before use.
5. Acceptable use
You will not, and will not allow others to:
- Access the Services or other customers' data without authorization
- Circumvent spend limits, rate limits, authentication, or security controls
- Share, sell, or publish API keys or access without our authorization
- Use the Services to distribute malware, phishing, or other unlawful content
- Interfere with or disrupt the Services
- Violate applicable law or upstream model-provider terms
We may investigate suspected abuse and suspend or terminate access where reasonably necessary.
6. Prohibited content
You must not use the Services for child sexual exploitation or abuse material, terrorism facilitation, or other content that is illegal where you use the Services. We may block, rate-limit, preserve, or report activity as required by law or to protect the Services and others.
7. Intellectual property and feedback
Relixr and its licensors own the Services, documentation, and branding. Subject to these Terms and upstream provider terms, you retain rights in your prompts, configurations, and outputs you generate. You grant Relixr a limited license to host and process your content solely to provide and secure the Services. Feedback you provide may be used to improve the Services without obligation to you.
8. Confidentiality
Non-public information exchanged in connection with the Services that is marked confidential or would reasonably be understood as confidential will be protected with reasonable care and used only to provide or improve the Services, except where disclosure is required by law.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, RELIXR DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICES OR MODEL OUTPUTS WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR REQUIREMENTS. Model outputs may be inaccurate or inappropriate; you are responsible for evaluating and using them.
10. Limitation of liability
To the maximum extent permitted by law, Relixr's aggregate liability arising out of or relating to these Terms or the Services in any twelve-month period is limited to the fees you paid to Relixr for the Services in that period. Relixr is not liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages, or for loss of data, goodwill, or business interruption, even if advised of the possibility.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited under applicable mandatory law (including mandatory consumer protections).
11. Indemnity
You will defend and indemnify Relixr and its personnel against third-party claims, damages, and expenses (including reasonable legal fees) arising from your content, your use or misuse of the Services, or your violation of these Terms or applicable law, except to the extent caused by Relixr's willful misconduct.
12. Suspension and termination
We may suspend or terminate access for breach of these Terms, legal or security risk, non-payment, or prolonged inactivity. You may stop using the Services at any time. Upon termination, your right to use the Services ends; provisions that by nature should survive (including liability, indemnity, confidentiality, and dispute resolution) survive.
13. Changes
We may update these Terms from time to time. The "Last updated" date and version identifier will change when we publish a revision. For material changes that affect your rights, we will provide notice (for example by email or in-product notice) and, where we require re-acceptance, continued use of the dashboard or creation of new API keys may require affirmative acceptance of the new version. If you do not agree, you must stop using the Services.
14. Governing law and disputes
These Terms are governed by the laws of Kenya, without regard to conflict-of-law rules. Subject to mandatory consumer rights, the courts of Kenya have exclusive jurisdiction over disputes arising from these Terms or the Services. Before filing a claim, the parties will attempt good-faith negotiation. EU and UK consumers retain any non-waivable right to bring proceedings in the courts of their country of residence.
15. General
If any provision is unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our prior consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy and any order or DPA that expressly incorporates them, are the entire agreement regarding the Services.
